Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("Customer", "you") and VITYMOBI SYSTEMS LIMITED ("ListingInfra", "we", "us"), a company registered in Masdar City, Abu Dhabi, UAE (License No. MC 13767). By accessing or using the ListingInfra platform (the "Service"), you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" means the ListingInfra SaaS platform, including all software, APIs, hosted websites, and related features.
  • "Content" means text, images, data, and other material you upload to or generate through the Service.
  • "Subscription" means a paid or trial plan granting access to the Service.
  • "End Users" means visitors to the listing website we host on your behalf.

2. Account Registration

To access the Service you must create an account. You agree to provide accurate, current, and complete information and to keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at hello@listinginfra.com if you suspect unauthorised access.

3. Subscriptions and Payment

3.1 Plans

The Service is offered under several plans as described on our Pricing page. Features and limits vary by plan.

3.2 Fees

Subscription fees are billed in advance on a monthly or annual basis. All fees are stated in USD and are non-refundable except as required by applicable law or as set out in Section 3.4.

3.3 Taxes

You are responsible for all applicable taxes. Where we are required to collect VAT or similar taxes, these will be added to your invoice.

3.4 Cancellation and Refunds

You may cancel your Subscription at any time. Cancellation takes effect at the end of the current billing period; access continues until then. We do not provide pro-rata refunds for unused time except where required by law.

3.5 Price Changes

We may change Subscription fees with 30 days' prior notice. Continued use after the notice period constitutes acceptance of the new fees.

4. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation, including UAE federal and Masdar City laws.
  • Infringe any intellectual property, privacy, or other rights of any third party.
  • Upload Content that is unlawful, defamatory, obscene, fraudulent, or harmful.
  • Distribute malware, spam, or unsolicited commercial communications.
  • Interfere with, disrupt, or gain unauthorised access to our systems or networks.
  • Attempt to reverse-engineer, decompile, or disassemble any part of the Service.
  • Resell or sublicense access to the Service without our written consent.

5. Your Content

5.1 Ownership

You retain ownership of all Content you upload. By using the Service, you grant ListingInfra a worldwide, non-exclusive, royalty-free licence to host, store, process, and display your Content solely to operate and provide the Service.

5.2 Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of your Content. We do not pre-screen Content but reserve the right to remove Content that violates these Terms.

5.3 Backup

We maintain routine backups for disaster-recovery purposes; however, you should maintain your own copies of important Content. We are not liable for Content loss.

6. Intellectual Property

The Service, including its software, design, trademarks, and documentation, is owned by or licensed to ListingInfra. Nothing in these Terms transfers any intellectual property rights to you other than the limited licence to use the Service during an active Subscription.

7. Confidentiality

Each party agrees to keep the other's non-public business information confidential and not to disclose it to third parties without prior written consent, except as required by law or to provide the Service.

8. Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

9. Third-Party Services

The Service may integrate with or link to third-party services (e.g., payment processors, map providers). We are not responsible for the availability, accuracy, or practices of any third-party service. Your use of third-party services is subject to their own terms.

10. Service Availability and Modifications

We aim for high availability but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features at any time. For material feature removals, we will provide at least 30 days' notice to active subscribers. We are not liable for any interruption or modification of the Service.

11. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR BE ERROR-FREE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LISTINGINFRA'S TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE FEES YOU PAID IN THE THREE (3) MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL LISTINGINFRA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

13. Indemnification

You agree to indemnify and hold harmless ListingInfra, its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your use of the Service, your Content, or your violation of these Terms.

14. Term and Termination

14.1 Term

These Terms commence when you first access the Service and continue until your Subscription ends or these Terms are terminated.

14.2 Termination by You

You may cancel your account at any time through your account settings or by contacting us.

14.3 Termination by Us

We may suspend or terminate your account immediately if you breach these Terms, fail to pay fees, or if we are required to do so by law. We will provide notice where practicable.

14.4 Effect of Termination

Upon termination, your access to the Service ceases. We will retain your data for 90 days to allow export, after which it will be deleted. Sections 5, 6, 7, 11, 12, 13, 15, and 16 survive termination.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the Abu Dhabi Global Market (ADGM) and, to the extent applicable, the laws of the UAE. Any dispute shall first be addressed through good-faith negotiation. If unresolved within 30 days, either party may refer the dispute to the courts of Abu Dhabi, UAE, which shall have exclusive jurisdiction.

16. General Provisions

  • Entire Agreement. These Terms and the Privacy Policy constitute the entire agreement between you and ListingInfra regarding the Service and supersede all prior agreements.
  • Amendments. We may update these Terms at any time. We will notify you by email or in-app notice at least 14 days before material changes take effect. Continued use constitutes acceptance.
  • Waiver. Failure to enforce any provision does not constitute a waiver of that provision.
  • Severability. If any provision is found unenforceable, the remaining provisions remain in full force.
  • Assignment. You may not assign your rights or obligations without our written consent. We may assign these Terms in connection with a merger or acquisition.
  • Force Majeure. Neither party is liable for delays or failures caused by events beyond their reasonable control.
  • Language. These Terms are written in English. In the event of any conflict between an English version and a translated version, the English version prevails.
